Please read carefully the Terms of Use (the "Terms of Use") below of 16778437 Canada Inc., a company duly incorporated under the laws of Canada and doing business under the name "Plateforme Solidmind" whose head office is located at 204-290, rue Régina, Montréal, Quebec H4G 2G5, Canada ("Solidmind").
Solidmind operates this application "Solidmind" (the "Application") and this website (the "Website") (the Web Application and the Website collectively referred to as the "Platform"), and the social media pages, accounts, websites, networks, or any applications contained therein designed and managed by Solidmind (the "Social Media").
The Terms of Use set forth the terms and conditions under which you may visit and use the Web Application and all written and other material presented on the Web Application (the "Web Application Content"), the Website (the "Website Content," and collectively with the Web Application Content referred to as the "Platform Content") or Social Media (the "Social Media Content") or available through them, including articles, texts, photographs, images, illustrations, audio clips, and video clips (the Platform Content and Social Media Content collectively referred to as the "Content").
By deciding to use the Platform, Social Media, and Solidmind's services, the user, understood as the end user or the organization you represent or work for (the "User" or "Users"), accepts all of the Terms of Use set out below governing the Content, as well as the privacy policy and the general terms and conditions of sale (the Terms of Use, the privacy policy, and the general terms and conditions of sale are hereinafter collectively referred to as the "Legal Notices").
The terms "you" and "your" refer to the User.
Solidmind provides its Users with an Application powered by artificial intelligence that offers services designed to support Canadian electricians in their daily practice, including providing them with calculators and a virtual assistant (the "Services").
These Terms of Use are legally binding on the User and Solidmind (the "Parties"). The Parties are entitled to invoke these Terms of Use and take all appropriate and necessary measures to enforce them.
By using the Platform and Social Media, you signify your agreement to be bound by the terms and conditions herein. If you do not agree to these Terms of Use or, as the case may be, the Terms of Use as amended from time to time, you must not, or must no longer, access or use the Platform and Social Media.
Use
Solidmind authorizes you to access and use the Platform in Canada for commercial purposes, in accordance with the terms and conditions of these Terms of Use. You acknowledge and agree that the Platform, Services, and Platform Content are intended only for electricians who are residents of and practice in Canada. Access to certain Services may depend on the User's province or territory, due to differences in applicable electrical codes and regulations, as announced by Solidmind on the Platform. You confirm that you are a qualified and duly licensed electrician authorized to practice in your jurisdiction.
Solidmind strives to make the Platform accessible at all times but does not guarantee uninterrupted availability. The Platform may be temporarily unavailable due to scheduled maintenance, updates, or unforeseen technical issues. Solidmind disclaims all liability for any direct or indirect damage resulting from a service interruption, update, or unavailability of the Platform, except in the event of gross or intentional fault on the part of Solidmind. Solidmind endeavors to perform updates when traffic on the Platform is at its lowest.
Solidmind does not guarantee that the Platform, or any part thereof, will function on specific computer hardware or peripherals. Furthermore, the Platform may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.
Solidmind reserves the right to add, delete, and modify all or part of the Content, with the exception of content specific to the User. Solidmind cannot be held responsible for mistakes, typographical errors, and bugs. Solidmind will only delete User content in the following cases: (i) upon written request from the User; (ii) when the content violates these Terms of Use; (iii) when required by law or court order; or (iv) when the content infringes on the rights of third parties. Solidmind will endeavor to notify the User before any content is deleted, unless such notification is prohibited by law or could compromise an investigation.
Each User of the Platform agrees, without limitation, not to:
use the Platform in a manner that could damage, disable, overburden, or impair the Platform;
disrupt the security of, or otherwise abuse, the Platform, or any Service, system resources, servers, or networks connected to the Platform or to affiliated or linked sites or accessible through them, or attempt to do so;
interfere with or disrupt the use or enjoyment of the Platform by other services or affiliated or linked sites;
upload, post, or otherwise transmit to the Platform any virus or other harmful, disruptive, or destructive computer file or program;
use a robot, spider, or other automatic device or manual process to monitor or copy the pages of the Platform or Platform Content;
attempt to gain unauthorized access to the Platform or certain portions of it to which access is restricted. Furthermore, the User agrees that they are solely responsible for all actions and communications undertaken or transmitted to or on their behalf, and agrees to comply with all applicable laws regarding their use of or activities on the Platform;
open an account on the Web Application under a false name;
open an account on the Web Application using someone else's identity;
post a false review or a review that is vulgar, defamatory, harassing, and/or discriminatory, or any review that violates the rights of others or applicable laws.
Prohibited use when contrary to law
It is prohibited to use the Platform in any jurisdiction where the Platform or any part of the Platform Content may violate laws or regulations. You agree not to access or use the Platform in such jurisdictions. You agree that you are responsible for complying with all applicable laws and regulations. Any violation of this provision, or any provision of these Terms of Use, engages your liability and you will be required to indemnify Solidmind for any damages, losses, claims, and expenses (including reasonable legal fees) arising from such violation.
The Web Application can be accessed directly from any compatible web browser or mobile device (computer, smartphone, tablet, etc.) (the "Device"). Solidmind does not guarantee compatibility with all devices or operating systems.
The Website is available through major Internet browsers, including:
Chrome;
Microsoft Edge;
Safari;
Firefox.
No promotion
Unless expressly stated, Solidmind does not recommend or promote any specific brand of products, services, methods, best practices in electricity, or other information that appears or is advertised on the Platform. Solidmind does not provide advice on the best ways to proceed with electrical work.
Unless otherwise specified in the Legal Notices, in order to use the features of the Web Application or access the Services, you must create an account (the "Account").
Only a User who has reached the age of majority in their province or territory of residence may create an Account on the Web Application. The User must create a separate "profile" that includes their name, email address, the Canadian province or territory where they provide services, the type of services offered (Residential, Commercial, Institutional, Industrial, Service / Maintenance, Renewable Energy / EV, Agricultural / Farm, Telecom / Low Voltage, Engineering / Design), and their level of experience (Apprentice Years 1-4, Journeyperson, or Master). The collection, use, and protection of this personal information are governed by Solidmind's privacy policy.
If you choose to create an Account, you agree to provide truthful and current information about yourself, as required by the registration process, and to update this information promptly as necessary to ensure that it remains accurate and complete. Alternatively, you may use a valid Google account to create your Account; however, you may be asked to provide additional information in order to use certain Services.
With regard to your Account, you acknowledge that you are responsible for:
maintaining the confidentiality of the passwords you choose or are assigned to you following your registration or subscription;
for any activity that occurs under your username or password (your "Credentials");
logging out of your Account at the end of each session.
In addition, you agree to notify Solidmind of any unauthorized use of your Credentials or Account. In the event that you fail to comply with the obligations set forth in this section, Solidmind shall not be liable for any losses or damages resulting therefrom.
If Solidmind has reasonable grounds to believe that the information you have provided is false, inaccurate, outdated, or incomplete, Solidmind has the right to suspend or terminate your Account and/or your access to all or part of the Web Application, with reasonable notice, except in cases of serious violation or fraud. Solidmind's use of any information allowing you to be identified that you provide during the Account opening and registration process is governed by the privacy policy.
In the event of a serious breach of these Terms of Use, including fraud, misrepresentation, abusive behavior, or use of the Web Application for illegal purposes, or if Solidmind has reasons to believe that your actions necessitate protection of its security and integrity, yours, and that of its other Users or third parties, for the purposes of fraud prevention or investigation, Solidmind may decide to:
limit the offending User's access to and use of the Web Application;
suspend the offending User's Account, either temporarily or permanently, depending on the seriousness of the acts observed.
You acknowledge and agree that browsing the web involves inherent risks and that computer and telecommunications systems are not fault-free and are subject to service interruptions. Solidmind cannot guarantee that the Services and/or access to the Platform will function without interruption, regularly, securely, or without errors, nor that no data loss will occur.
Furthermore, Solidmind cannot guarantee the security of its databases or the confidentiality of any communication to or from the Platform, nor can it promise that the information you provide will not be intercepted when transmitted to us over the Internet. To the extent permitted by applicable laws according to or territory of residence, you are solely responsible for any damage to your Device and any loss of data.
Please note that the availability and price of the Services vary depending on your geographic location of residence, and Solidmind does not guarantee their availability. It is the User's responsibility to correctly declare their place of residence, and they agree that Solidmind cannot be held responsible for any consequences related to the inaccessibility of the Services in the User's geographic area.
Access to a virtual assistant (Henri) using artificial intelligence to:
answer Users' technical questions;
explain the provisions of the Canadian Electrical Code, Part I, Safety Standard for Electrical Installations (CSA C22.1:26) (the "Canadian Electrical Code") and the Construction Code, Chapter V, Electricity, Canadian Electrical Code, Part I with Québec Amendments (CSA C22.10:26) (the "Quebec Electrical Code") in plain language;
guide the User step by step in the performance of their tasks;
assist in interpreting compliance and safety rules;
help diagnose and resolve problems encountered in the field;
analyze images, diagrams, and site photos provided by the User using computer vision;
search the web in real-time to provide current information, including material pricing estimates.
Use of integrated site calculators, allowing you to quickly:
quickly perform practical electrical calculations adapted to the site, in order to obtain estimates provided for informational purposes only. These estimates do not constitute certified engineering calculations and in no way replace the assessment or validation by a qualified professional;
verifications in accordance with applicable standards in Canada and Quebec.
Users are fully responsible for the services they provide using the Web Application, including compliance with applicable professional standards, management of files in accordance with applicable laws, and protection of all personal information in accordance with privacy laws.
The Services available vary depending on your province or territory and where you are located at the time of the request.
No specific results are guaranteed. The User may decide that the Services are not suitable for their needs or that they cannot provide them.
Unless otherwise indicated, all intellectual property rights (trademarks, copyrights, etc.) (the "Intellectual Property") related to the Platform or Social Media are and remain the exclusive property of Solidmind. You may not copy or use the material, structure, menu, appearance, or characters that appear on the Platform without the express consent of Solidmind.
Certain names, words, titles, expressions, logos, icons, graphics, designs, domain names, or other content on the Platform may be trademarks or commercial names, registered or unregistered (for the purposes of these Terms of Use, they are all referred to as "Trademarks"). These Trademarks are protected by Canadian and foreign trademark laws and are, as applicable, the exclusive property of Solidmind.
Without limiting the scope, the Intellectual Property belonging to Solidmind includes, but is not limited to, the following:
all logos, designs, graphics, photos, videos, trademarks (registered or unregistered), symbols, text, expressions, words, and all Content not already subject to Intellectual Property rights;
all software, APIs, and materials made available by the Platform or Social Media;
all databases made available by the Platform or Social Media;
the company logo and name.
Unless otherwise indicated, all information provided on the Platform or Social Media belongs to Solidmind and is protected by applicable laws. Furthermore, the information may not be copied, displayed, distributed, downloaded, exploited without a license, modified, published, reproduced, reused, sold, transmitted, or used for derivative, public, or commercial purposes without the express written permission of Solidmind. The information is protected under the copyright and trademark laws of Canada and the countries that host the Platform or Social Media.
These Terms of Use authorize you view, display, and copy certain responses (g.calculation results, responses from the Henri assistant) presented on the Platform solely for your commercial and professional support purposes, provided that the Content is not modified in any way and that Solidmind's Intellectual Property is preserved. This authorization is granted to you exclusively; it may not be assigned or transferred to another person, nor may it be sublicensed.
Images and text, as well as articles, videos, information guides, and any Content copied from the Platform remain subject to these Terms of Use and remain the property of Solidmind. You must ensure that all copyright and trademark notices are retained. Content may be modified at any time without notice. For more information regarding permission to use, reproduce, or republish any information presented on the Platform or Social Media, please contact us at info@solidmind.ca.
No license to use the Intellectual Property is granted to Users by these Terms of Use. All Intellectual Property rights remain the exclusive property of Solidmind or its licensors.
Any unauthorized downloading, retransmission, copying, or modification of the Intellectual Property or data contained on the Platform or Social Media violates laws including those relating to trademarks or copyrights, and exposes the User to legal action and claims for damages.
By using a hyperlink, the User may leave the Platform to access external content (the "External Websites"). In addition to its own Platform Content, Solidmind may provide Users with links to External Websites for the User's information only. These links do not constitute a recommendation, approval, or promotion by Solidmind of any External Website or its content. Unless expressly stated, Solidmind does not operate any External Websites linked to the Platform. Solidmind has no control over the content of these External Websites and assumes no responsibility for their accuracy, completeness, authenticity, timeliness, or adequacy. Solidmind is not liable for any direct or indirect damages or consequences arising from the use of the content of these External Websites. Solidmind has no influence on the content of External Websites to which links refer and accepts no responsibility for the careful selection of such links, the content of external links, in particular those that have been modified after the link was created. Solidmind does not require the transmission of information, does not select the recipients of the transmitted information or the information itself, and does not modify it. Furthermore, Solidmind does not cache or automatically store these External Websites in the short term. Consequently, the operators of External Websites accessible via external links are solely responsible for their content.
Furthermore, Solidmind cannot guarantee that these External Websites or their content do not violate any laws, including copyrights, trademarks, or third-party rights, or that they are free of viruses or other harmful components.
No guarantee is given as to the authenticity of the documents available on these External Websites.
The following conditions apply when you access a Social Media page.
General Statement
By using Social Media pages and submitting a comment, photo, video, or other material, you agree to be bound by and comply with Solidmind's Legal Notices and the terms of use of third-party Social Media providers. You also consent to Solidmind copying, editing, publishing, translating, distributing, reproducing, modifying, and otherwise using your comment, photo, video, or other item posted on Social Media, without compensation, in perpetuity, and worldwide. You warrant that you have all the rights necessary to grant this license and that the content submitted does not violate any third-party rights.
Social Media Terms of Use
Some of the comments and other items posted on Social Media pages may not represent the opinions of Solidmind. Therefore, you agree not to post or submit any information, publications, links, or any other items of any kind on Social Media pages that fall into any of the categories described below with respect to Solidmind:
any content that is or may be defamatory, abusive, counterfeit, obscene, misleading, or illegal;
any content that otherwise violates the rights (including those related to the protection of personal information) of others;
any content that contains direct or indirect advertising;
promotional materials or any form of unsolicited and/or spontaneous solicitations;
any content whose origin, source, or element is falsified;
any financial or personal information about you or another person;
any information that Solidmind, at its sole discretion, deems to be in violation of the Terms of Use.
Any information, message, link, or element that Solidmind considers to fall within one of the above categories will be deleted immediately, without liability to Solidmind.
The User agrees to follow all instructions posted by Solidmind on the Platform regarding comments that may be left.
Furthermore, Solidmind assumes no responsibility for filtering messages posted on Social Media.
Solidmind disclaims all liability with respect to entities that own or operate Social Media, including any loss or damage, direct or indirect, arising from any action or decision taken by you or another person in connection with the use of Social Media.
The User hereby irrevocably, perpetually, and worldwide assigns to Solidmind all rights, titles, and interests in and to any ideas, know-how, concepts, techniques, or other intellectual property rights contained in any notice, comment, or feedback made in their own name or on behalf of others and with their consent, without any attribution or compensation. Solidmind is free to use, reproduce, distribute and exploit them for any purpose, although Solidmind is not obliged to use the notice, comment or feedback. The User warrants that they hold all rights necessary to make this assignment and waives all moral rights to the extent permitted by law.
Platform
By using this Platform, the User expressly acknowledges and agrees that it is provided for general information purposes only, and without any warranty, express or implied, of conformity, completeness, accuracy, reliability, or suitability for a particular purpose, except in jurisdictions that do not allow the exclusion of warranties. Solidmind disclaims all liability for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use the information provided on the Platform.
The User may not use the Platform for purposes contrary to the laws applicable in Quebec and Canada.
When the User is a consumer within the meaning of the Consumer Protection Act (CQLR, c. P-40.1), which does not allow the exclusion of warranties and the exclusion of Solidmind's liability for certain damages, the User has additional rights and is not subject to some of the limitations mentioned below.
Subject to the mandatory provisions of the Consumer Protection Act (CQLR, c. P-40.1) and the Civil Code of Québec, and to the maximum extent permitted by law, Solidmind shall not be liable for any direct, indirect, special, incidental, consequential, or punitive damages, or any other damages whatsoever, including, but not limited to, loss of revenue, profits, or anticipated economic benefits arising from the use or inability to use the Platform, the information, documents, and software contained therein, and their content, even if Solidmind has been advised of the possibility of such damages or even if such damages are reasonably foreseeable. However, nothing in these Terms of Use limits Solidmind's liability in the event of gross negligence or willful misconduct.
You agree to indemnify, defend, and hold harmless Solidmind, its officers, directors, employees, agents, licensors, and their respective successors and assigns from and against any and all claims, demands, liabilities, costs, or expenses of any kind, including, without limitation, legal fees and disbursements, resulting directly or indirectly from:
your failure to comply with the terms of these Terms of Use;
your access to the Platform, your use or misuse of the Platform, your reliance on the Platform Content, or your inability to access the Platform or the Platform Content (or any website linked to it or that may be linked to it from time to time);
your use of the Platform Content, your reliance on said Platform Content.
You may not use or export the information or any copy or adaptation of the information in violation of applicable laws or regulations.
Application
The Web Application is an information and assistance tool intended for electricians. It does not replace the Canadian Electrical Code, the Quebec Electrical Code, or any official document, standard, or regulation in force.
The Web Application Content is provided for informational purposes only. It is not exhaustive and does not cover all requirements, interpretations, or specific cases provided for by applicable codes, regulations, or standards.
The information available on the Web Application may not reflect the most recent legislative, technical, or regulatory updates.
Users remain solely and entirely responsible for verifying the accuracy, relevance, and compliance of the information provided on the Web Application with official sources, including the Canadian Electrical Code, the Quebec Electrical Code in force, the competent regulatory authorities, or recognized certification bodies. Solidmind cannot be held responsible for any inaccuracy, omission, or non-compliance of the information provided.
No professional advice
The Web Application and the Services provided do not constitute or replace the professional advice, recommendations, or services of a qualified electrician or any other electrical professional. The Web Application Content is provided for informational purposes only and should not be considered professional guidance, best practices, or industry standards.
The User acknowledges and agrees that:
The Web Application does not provide any advice on the best way to perform electrical work;
all electrical work must be performed in accordance with applicable laws, regulations, and codes, including, but not limited to, the Canadian Electrical Code and the Quebec Electrical Code, and by duly qualified and authorized persons;
the User remains fully responsible for ensuring that all electrical work is performed safely, in accordance with applicable standards, and by competent professionals;
Solidmind cannot be held liable in any way for decisions made, work performed, or consequences arising from the use of the Platform or Platform Content, including, without limitation, any property damage, personal injury, or death.
You should always seek the advice of a qualified electrician with a valid license issued by the Corporation des maîtres électriciens du Québec (CMEQ) or other competent authority in your region regarding any questions you may have about the Platform Content and any electrical project that may concern you. Never disregard the advice of a professional electrician and never delay a consultation because of Platform Content. Always consult a qualified and licensed electrician before undertaking any electrical work.
Solidmind reserves the right to modify these Terms of Use at any time. Continued use of the Platform after the changes take effect constitutes the User's acceptance of the modified Terms of Use.
However, in the event of application of the Consumer Protection Act (RLRQ, c. P-40.1), Solidmind will notify current Users of the Platform thirty (30) days prior to the effective date of the modification. This notification will be sent by email to the address provided by the User during registration, informing the User of the nature of the changes and the possibility of viewing the full details of the changes on the Platform. If the User refuses these changes and wishes to no longer use the Platform, they will have a period of thirty (30) days following the effective date of the changes to send a notification to Solidmind and terminate, without cost or penalty, their obligations to Solidmind, and must cease all use of the Platform.
If the Terms of Use are available in more than one language and a definition or interpretation issue arises between the French version and any other version of the Terms of Use, the French version shall prevail.
The headings of the preceding sections are inserted for reference purposes only and shall not affect the construction or interpretation of the provisions of these Terms of Use.
Where the context so requires, any word written in the singular shall also include the plural and vice versa; any word written in the masculine gender shall also include the feminine gender and vice versa.
For any questions or comments regarding these Terms of Use or the Content, the User may contact Solidmind at the following address: info@solidmind.ca. Solidmind will endeavor to respond within a reasonable time but does not undertake to provide a response within a specific time frame.
This agreement (the "Agreement") sets out the terms and conditions that apply to the purchase of all Solidmind Company Services.
The terms "you" and "your" refer to natural or legal persons practicing the profession of electrician in Canada and holding a valid license issued by the competent authority of their province or territory of residence, who purchase Services for professional purposes (the "Customer(s)" and, together with Solidmind, the "Parties") through our artificial intelligence-powered web application, which offers services designed to support Canadian electricians in their daily practice, including providing them with calculators and a virtual assistant, available on the Web (the "Application").
By using the Web Application to purchase our Services online, you must accept the Agreement and agree to be bound by it. You represent and warrant that you are at least eighteen (18) years of age, have full legal capacity to enter into this Agreement in accordance with the laws of your province or territory of residence, and, if you are acting on behalf of a legal entity, are duly authorized to bind such entity to this Agreement and have the necessary powers to do so. You acknowledge that you have had the opportunity to carefully read this Agreement and understand all of its terms before accepting it. The Agreement contains important information about your rights and obligations and sets out the restrictions and exclusions to which you may be subject.
For more information about your rights and obligations, we suggest that you review the laws and regulations applicable to this area.
By this Agreement, you authorize the exchange of documents and information between you and Solidmind through the Web Application or by email, in accordance with the Act to establish a legal framework for information technology (CQLR, c. C-1.1) and equivalent laws applicable in your province or territory of residence. You agree that this Agreement, entered into electronically, has the same legal value as a paper agreement. You also agree that all agreements, notices, information, and other communications that we send you electronically satisfy applicable legal requirements, subject to compliance with the requirements of the aforementioned Act.
The use of the Web Application and Solidmind's activities are governed by various policies, including the Legal Notices, which are in compliance with the applicable laws of Quebec and Canada. You acknowledge and confirm that you have read the Legal Notices and agree to be bound by their terms and conditions. These documents are accessible at any time on the Web Application.
Notwithstanding the foregoing, the provisions of the Agreement shall prevail over the provisions of the Legal Notices. In the event of any inconsistency between the provisions of the Agreement and those of the Legal Notices, the provisions of the Agreement shall apply.
The Services offered on the Web Application are available uniformly throughout Canada via Stripe to licensed professional electricians. The Customer guarantees the accuracy of the information provided regarding their place of residence or establishment. The applicable contractual protections vary depending on the Customer's province or territory of residence, with the provisions most favorable to the Customer prevailing in the event of a conflict between provincial laws and this Agreement.
The characteristics, terms and prices of the Services sold by Solidmind are defined on the Web Application. The display of this information on the Web Application at the time of Subscription is binding for the Contract entered into. Solidmind reserves the right to modify this information at any time for future contracts, in compliance with applicable legal and regulatory provisions. Any changes to the Services or prices shall not affect Contracts already concluded, unless expressly agreed to by the Customer.
The Web Application offers the following Services intended exclusively for professional electricians:
Technical calculators for electrical installations;
Virtual assistance for daily work;
Access to the Services is offered in the form of a monthly or annual subscription via the Web Application, as detailed in the Subscription section.
Solidmind offers new Customers a free thirty (30) day trial period for the subscription to the Services. During this period, the Customer may access all Services free of charge and without any obligation to provide payment information. At the end of the trial period, if the Customer wishes to continue using the Services, they must subscribe to a paid Subscription via Stripe in accordance with the terms and conditions set out in the Subscription section. No automatic billing will be carried out unless the Customer has expressly provided their payment information to Stripe and confirmed their wish to subscribe to a paid Subscription. The Customer will receive an email reminder at least seven (7) days before the end of the trial period informing them of the upcoming expiration and the terms and conditions for subscribing to a paid Subscription via Stripe.
The Web Application offers the Customer the option to freely subscribe to a monthly or annual subscription (the "Subscription"), the terms and prices of which are detailed on the Solidmind Application and via Stripe.
The Subscription includes all Services.
By subscribing to a Subscription via Stripe, the Customer agrees to pay recurring monthly fees according to the rate displayed by the Web Application and Stripe in effect at the time of subscription (the "Monthly Subscription Fees"), or a single annual fee charged at the beginning of the Subscription period (the "Annual Subscription Fees" and, together with the Monthly Subscription Fees, the "Subscription Fees"). The Customer accepts responsibility for all recurring Subscription Fees for the duration of their Subscription, subject to their right to terminate in accordance with the Termination of Subscriptions section. The exact amounts of the Monthly and Annual Subscription Fees, including all applicable taxes, will be clearly indicated to the Customer by Stripe prior to confirmation of their Subscription and in each confirmation email issued by Stripe.
A Contract is formed between the Parties on the date of receipt by the Customer of a Subscription confirmation, at which time the Subscription Fees are due and processed exclusively by Stripe in accordance with its payment policies. Solidmind is not involved in the processing of payments at any time.
Payment is made automatically during the Subscription by Stripe in accordance with the terms described in the Payment Terms section and Stripe's policies. The Customer is responsible for keeping their payment information up to date in their Stripe account. Solidmind does not have access to the Customer's banking information and cannot modify it.
The Subscription shall remain in effect until terminated. Monthly Subscription Fees are charged monthly on the anniversary date of the formation of the Contract, and Annual Subscription Fees are charged annually on the date of the formation of the Contract. If the date on which the Contract is formed falls on a day that is not included in a subsequent Subscription month, the charge will be made on the last day of that month. For example, if the Contract is formed on January 15, charges will be made on the fifteenth (15th) day of each Subscription month. If the Contract is formed on January 31, payments will begin on January 31, then February 28, or February 29 if it is a leap year, then March 31, then April 30, and so on. Unless the Customer cancels their Subscription before the billing date, the Customer authorizes Stripe to charge the Subscription Fees in accordance with Stripe's terms and policies for the next billing cycle.
In the event of non-payment, Stripe will apply its collection policies in accordance with its procedures.
Termination of the Subscription by the Customer is subject to the terms of the termination policy (the "Termination Policy") detailed in the Termination of Subscriptions section of this Agreement.
Some of the features available on the Web Application require registration or a Subscription. If you choose to register or subscribe to such a feature, you agree to provide truthful and up-to-date information about yourself, as required by the registration or Subscription process, and to update this information promptly as necessary to ensure that it remains accurate and complete.
You acknowledge that you are responsible for:
maintaining the confidentiality of any passwords you choose or are assigned to you as a result of your registration or Subscription;
any activity that occurs under your username or password; and
logging out of your account at the end of each session.
In addition, you agree to notify Solidmind immediately of any unauthorized use of your username or password as soon as you become aware of it. In the event that you fail to comply with the obligations set forth in this section, Solidmind shall not be liable for any losses or damages resulting therefrom, subject to the mandatory provisions of the Civil Code of Quebec relating to civil liability.
The Parties acknowledge that the use of the Services may involve the exchange of confidential information.
Each Party undertakes to:
Treat all information obtained from the other Party as strictly confidential;
Not disclose such information to third parties without prior written authorization;
Use the confidential information exclusively in connection with the performance of this Agreement;
Implement appropriate security measures to protect such information.
The Customer acknowledges that:
The calculations, recommendations, and data generated by the Web Application remain the intellectual property of Solidmind;
They may not reproduce, copy, or distribute the proprietary content of the Web Application;
The use of the calculation tools does not confer any ownership rights over the underlying algorithms.
The confidentiality obligations shall survive the termination of the Contract for a period of five (5) years.
The following information is not considered confidential:
Already in the public domain at the time of disclosure;
Developed independently by the receiving Party;
Disclosed pursuant to a legal or judicial obligation.
In the event of a serious breach of this Agreement, or if Solidmind has reason to believe that your actions require it to protect its security and integrity, yours and that of its other Customers or third parties, for the purposes of fraud prevention or investigation, Solidmind may decide to:
Limit the offending Customer's access to and use of the Web Application; and/or
Suspend the offending Customer's account, either temporarily or permanently, depending on the seriousness of the acts observed.
Unless otherwise indicated, all prices are in Canadian dollars (CAD). The prices displayed on the Web Application exclude applicable taxes, which are displayed during the final stage of payment via Stripe.
Although Solidmind strives to provide an accurate description of its prices, there is a risk of error. Solidmind therefore reserves the right to correct its prices and any incorrect information, to modify the prices of Subscriptions and Services, or to make any other changes to this Agreement at any time, in accordance with applicable legal and regulatory provisions. If a price is incorrect, Solidmind will contact the Customer as soon as possible to inform them of the error. The Subscription will be canceled and the Subscription Fees will be refunded by Stripe in accordance with its refund terms and conditions. Solidmind will offer the Customer the opportunity to start a new Subscription at the adjusted price via Stripe, without any obligation on the part of the Customer to accept.
When using the Services for the first time, the Customer must create an account and, following the thirty (30) day trial period, must pay Subscription Fees according to the prices displayed on the Web Application.
Solidmind reserves the right to change the price of Subscriptions and Services from time to time. Solidmind will notify you at least thirty (30) days before any price or Subscription plan changes take effect.
For all Subscriptions, payment terms are managed by Stripe. Solidmind allows Subscription Fees to be paid using all payment methods permitted by Stripe (Visa, Mastercard, etc.).
Solidmind is not responsible for the information requested by Stripe and guarantees that it does not collect any banking data from Customers.
Payments must be approved by the financial institution that issued the credit or debit card. The Customer must be legally authorized to use the card that will be used to pay for the Subscription.
Solidmind may occasionally offer discounts, rebates, and promotional codes to Customers (the "Offers"). Eligibility for Offers will be determined at Solidmind discretion based on all eligibility criteria and other conditions and restrictions disclosed to the Customer, who may review them by email and/or by consulting the Web Application. If the Customer wishes to participate in the Offers, they agree to comply with the guidelines issued by Solidmind regarding them.
The Customer may not pay the Monthly Subscription Fee in installments. Full payment of the Monthly Subscription Fee must be made in a single payment.
The availability of certain Services may be limited. Solidmind may modify or withdraw Services at any time without notice. If a Service subscribed to is not or is no longer available, Solidmind will notify you by email and your Subscription will be automatically canceled.
Services are available uniformly throughout Canada via Stripe. The Customer guarantees the accuracy of the information provided regarding their place of residence or establishment. Applicable laws and contractual protections may vary depending on the province or territory of residence or establishment of the Customer.
14.1 Customer's Right to Terminate
The Customer may terminate their Subscription at any time in accordance with the following terms and conditions:
During the thirty (30) day free trial period, the Customer may cancel without charge or justification via their Stripe account, with immediate effect if the cancellation is made at least 24 hours before the end of the trial period in accordance with Stripe policies.
After the trial period, the Customer may terminate their Subscription at any time via their Stripe account in accordance with the terms of termination set out below.
14.2 Terms of termination
Termination of the Subscription is carried out exclusively via the Customer's Stripe account in accordance with Stripe policies. Any notification to Solidmind (info@solidmind.ca) remains optional and informative.
If the Customer chooses to notify Solidmind for informational purposes, this notification should include the Customer's name, the email address associated with the Stripe account, and the termination date.
14.3 Effective Date
Termination shall take effect as follows:
Termination of a monthly Subscription takes effect in accordance with Stripe policies.
The termination of an Annual Subscription takes effect in accordance with Stripe policies.
Termination is carried out exclusively through Stripe and follows Stripe's refund and cancellation policies, subject to the Customer's mandatory rights provided under the Civil Code of Quebec.
In all cases, the Customer retains access to the Services until the effective date of termination.
14.4 Refund Conditions
Termination by the Customer
No fees are charged during the thirty (30) day free trial period. If fees were charged in error during this period, the Customer must contact Stripe for a refund in accordance with its policies.
Refund requests for Monthly Subscriptions or Annual Subscriptions are handled exclusively by Stripe in accordance with its refund policies. The Customer must submit their request directly through their Stripe account. Solidmind cannot process any refund requests directly.
Termination by Solidmind
Subject to Stripe's refund policies and the Customer's mandatory rights, no refunds will be granted by Solidmind in the event of termination of the Subscription due to non-payment reported by Stripe or material breach of this Agreement by the Customer.
For any other reason for termination by Solidmind, such as force majeure or permanent cessation of business, refunds will be processed in accordance with Stripe's refund policies. Solidmind will make commercially reasonable efforts to notify Stripe of the termination, to the extent permitted by Stripe's policies and systems.
Refund timelines and terms are determined by Stripe policies. Solidmind will inform the Customer of the steps to take with Stripe to obtain a refund where applicable but cannot guarantee the outcome of such requests.
14.5 Termination by Solidmind
Solidmind may terminate a Subscription upon 30 days' written notice sent to the Customer's email address registered in their account in the following cases:
Persistent non-payment reported by Stripe after notification to the Customer
Substantial breach of this Agreement
Permanent and documented cessation of the Customer's professional activity as an electrician
Force majeure lasting more than three (3) months.
The applicable refund conditions are set out in the Refund Conditions section.
14.6 Commercial relations - No right of withdrawal
The Customer acknowledges that, as a professional who purchases the Service for professional purposes, they do not benefit from certain protections granted to consumers and assume the commercial risks normally associated with their Subscription.
14.7 Right to terminate
Either Party may terminate the Contract upon 30 days' written notice, without penalty or cause, subject to Stripe's refund policy.
Such termination shall not be made in bad faith or in a manner that causes undue harm to the other Party.
It is the Customer's responsibility to ensure, prior to subscribing, that they comply with all the terms and conditions set forth in this Agreement and in the Terms of Use.
The Customer represents and warrants that they are a professional electrician duly licensed or otherwise authorized to practice in Canada in accordance with applicable laws, and that they maintain all certifications, licenses, and accreditations required to practice their profession.
The Customer agrees to comply with the following obligations:
Comply fully with applicable building codes, including the Quebec Construction Code and the Canadian Electrical Code;
Use the Services provided by Solidmind only in connection with work that complies with current professional and regulatory standards;
Not to rely exclusively on the information provided by the Web Application for critical electrical safety decisions, as the Services are decision-making tools and not a substitute for professional judgment;
Keep their continuing education and professional certifications up to date.
Solidmind cannot be held responsible for the use of the Services in contexts that do not comply with applicable regulations. The Customer remains solely responsible for the compliance of their work with professional codes and standards, as well as for any consequences arising from non-compliance with these obligations.
The Customer represents and warrants that they maintain, throughout the term of their Subscription, professional liability insurance that complies with the minimum requirements of their province or territory of practice or, in the absence of such requirements, a minimum amount of one million dollars ($1,000,000 CAD) per claim, covering their activities as a professional electrician.
This insurance must cover:
Professional errors and omissions;
Property damage caused in the course of professional practice;
Bodily injury resulting from faulty electrical installations.
The Customer undertakes to comply with the following obligations:
Provide Solidmind with valid proof of insurance upon request;
Notify Solidmind of any suspension, cancellation, or substantial change in its insurance coverage;
Not to use the Services if their insurance coverage is not in order.
Solidmind reserves the right to suspend access to the Services in the event of failure to maintain adequate professional insurance, after written notification to the Customer sent by email to the address provided during registration and granting a period of fifteen (15) calendar days from receipt of said notification to rectify the situation.
Solidmind undertakes to provide the Services with diligence and professionalism, in accordance with reasonable standards in its sector of activity. Subject to the mandatory legal guarantees provided for in the Civil Code of Québec, in particular articles 1726 et seq., relating to the warranty of quality, Solidmind offers no other express or implied warranty concerning, in particular, specific results, commercial value, or fitness for a particular purpose of the Services provided.
Solidmind shall not be held liable for the total or partial non-performance of any of its obligations to the Customer, nor for any damage or loss that the Customer may suffer if the non-performance or delay in the Services results from force majeure or a natural disaster.
Force majeure refers to all unforeseeable and irresistible events beyond Solidmind's control, of any nature whatsoever, including, but not limited to, the following situations: natural disasters, severe weather events, fires, floods, avalanches, landslides or subsidence, general strikes, sabotage, embargoes, major interruptions in telecommunications infrastructure, acts or regulations issued by public, civil or military authorities (including delays in obtaining authorizations or permits of any kind that are beyond Solidmind's reasonable control), wars or pandemics declared by competent health authorities, which have the effect of rendering the Service temporarily or permanently impossible to perform.
If such an event occurs, as defined above, Solidmind shall notify the Customer in writing, and the expected execution times shall be automatically extended for the duration of the event. If the duration of the force majeure event exceeds three (3) months, the Customer or Solidmind may terminate the Contract by sending notice to the other party.
Any consideration provided for in the Contract that has already been performed shall be subject to reimbursement or payment upon receipt by one Party of written notice from the other Party.
This Agreement is governed by the laws of the Province of Quebec and the laws of Canada applicable therein, subject to the public policy provisions of the province or territory of residence of the Customer.
For Customers residing outside of Quebec, the mandatory provisions for the protection of contractors in their province or territory of residence shall apply in addition to this Agreement, to the extent that they are more favorable to the Customer.
Any dispute shall be submitted to the jurisdiction of the courts of Montreal, Quebec, unless mandatory rules of jurisdiction of the province or territory of residence of the Customer provide otherwise.
Headings are included in this Agreement for convenience of reference and understanding only and shall not affect the interpretation of this Agreement. The general interpretation of this Agreement is subject to the provisions of the Civil Code of Québec.
You may not assign your rights or obligations under this Agreement without the express written consent of Solidmind.
Solidmind reminds you that the Web Application is intended for use by persons who have reached the age of majority in their province or territory of residence. Any purchase of a Subscription may only be made by a person of legal age. Any use of the Web Application by a minor must be under the direct supervision of the parent or legal guardian responsible for the minor.
The Parties are bound by this Agreement and acknowledge that they have read and understood their mutual rights and obligations.
If the Agreement is available in more than one language and a problem of definition or interpretation arises between the French version and any other version of the Agreement, the French version shall prevail.
This Agreement, the Legal Notices, terms and conditions incorporated herein by reference or mentioned herein, constitute the entire Agreement between you and Solidmind with respect to the general terms and conditions of sale, the use of the Web Application, and transactions made on or through the Web Application. They supersede all prior agreements or understandings (electronic, verbal, or written) regarding the subject matter hereof and may only be modified in writing in accordance with this Agreement.
The fact that Solidmind does not enforce any provision of these Terms or does not follow up on a breach of these Terms by you or a third party does not mean that Solidmind waives its right to enforce the terms of these Terms or to follow up on similar breaches in the future.
Solidmind reserves the right to modify this Agreement. Solidmind will notify Customers by email thirty (30) days prior to the effective date of any material change to the essential terms of the Agreement.
If the Customer does not accept this Agreement or, as the case may be, the Agreement as amended, they must not, or must no longer, use the Web Application. They will have up to thirty (30) days after the amendments come into effect to send a notification to Solidmind to that effect.
The Customer's use of the Web Application after the changes have been made means that the Customer agrees to comply with and be legally bound by the Agreement. Solidmind will notify Customers of any changes to the Agreement at least thirty (30) days in advance.

By subscribing, the Customer declares that they have read and understood this Agreement and that the entirety of this Agreement contains no illegible or incomprehensible clauses, and the Customer accepts this Agreement in its entirety WITHOUT RESERVATION.
